Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Shop-Surplus website, platform, and services (“Shop-Surplus,” “we,” “us,” or “our”). By accessing or using the platform, you agree to these Terms.

1. Platform Overview

Shop-Surplus operates an online marketplace that connects fabrication shops for the purpose of buying and selling surplus steel.

Shop-Surplus:

  • Does not own or take possession of material
  • Does not act as a broker, dealer, or reseller
  • Does not inspect, certify, or alter material

All transactions occur directly between independent users.

2. Eligibility

Use of Shop-Surplus is limited to:

  • Businesses and professionals engaged in fabrication or related industries
  • Users who can legally enter into binding contracts

By using the platform, you represent that all information provided is accurate and current.

3. Accounts

To sell or purchase material, you must create an account.

You are responsible for:

  • Maintaining account security
  • All activity conducted under your account
  • Ensuring listing and profile accuracy

Shop-Surplus reserves the right to suspend or terminate accounts for violations of these Terms.

4. Listings & Transactions

Sellers are responsible for:

  • Accurate material descriptions
  • Disclosing known conditions or limitations
  • Maintaining availability of listed material

Buyers are responsible for:

  • Reviewing listings carefully
  • Determining suitability for their intended use

All material is sold as-is, where-is, unless otherwise stated.

5. Verification

Seller confirmation may occur after order submission and before fulfillment.

Verification:

  • Confirms seller-reported listing accuracy, material availability, and shipment readiness
  • Does not constitute inspection, certification, or compliance review

Sellers are responsible for listing accuracy, confirmation, and material preparation.

6. Shipping & Logistics

Shipping is arranged based on seller-defined logistics settings.

  • ShopSurplus-arranged freight is estimated and then confirmed before payment
  • Buyer-arranged freight may be available for eligible single-location orders
  • Steel ships by truck

Shop-Surplus is not responsible for carrier delays, transit damage, or yard conditions.

7. Payments & Escrow

Payments are processed through escrow.

  • Buyer funds are held after checkout
  • Funds are released through Trustap after the applicable delivery, handover, and complaint-period milestones
  • Escrow protects both parties but does not eliminate risk

Shop-Surplus is not responsible for disputes outside platform-defined milestones.

8. Fees

Shop-Surplus may charge platform or transaction fees. All applicable fees will be disclosed prior to completing a transaction.

9. Limitation of Liability

To the fullest extent permitted by law, Shop-Surplus shall not be liable for:

  • Indirect or consequential damages
  • Project delays or losses
  • Material failure or incompatibility

Total liability shall not exceed fees paid to Shop-Surplus for the applicable transaction.

10. Indemnification

You agree to indemnify and hold harmless Shop-Surplus from claims arising from:

  • Your listings or purchases
  • Your use of the platform
  • Violation of these Terms

11. Termination

Shop-Surplus may suspend or terminate access at its discretion, including for misuse, inaccurate listings, or failure to comply with these Terms.

12. Governing Law

These Terms shall be governed by the laws of the applicable jurisdiction as specified by Shop-Surplus.

13. Changes

Shop-Surplus may update these Terms at any time. Continued use constitutes acceptance of the updated Terms.
